Acquisition period: corporate, tax and real estate due diligence, computation of registration duties and notary fees due on the acquisition, negotiation and assistance in the drafting of any acquisition deed with relevant reps & warranties, obtaining a bank financing, negotiation of any security interests, setting-up the optimal corporate and financing acquisition structure, drafting of any shareholders agreement.
Holding period: follow-up of the annual accounting and tax obligations of our clients, assistance in any refinancing or restructuring operations, assistance in the drafting of any agreement (e.g., hotel management contract, commercial lease agreements, villa management agreements, real estate mandates for seasonal rentals, architect or project management agreement), assistance in any tax, commercial, and real estate litigation.
Exit period: sanity check of the structure before starting any sales process, negotiation with any potential co-owners to initiate the sales process, negotiation and assistance in the drafting of any deed of sale with relevant reps & warranties, computation of capital gains tax due on the sale, computation of taxes due on the cash repatriation of the net sales proceeds until the ultimate beneficial owner.
Inheritance and family transfer: setting-up of family business transfer schemes, assistance with gifts and inheritance (filing requirements, computation of gift and inheritance taxes).
